By accessing or using Memory Chat, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these terms, you may not access the Services. These Terms constitute a legally binding agreement between you and MemoryChat. If you are using the Services on behalf of an organization, you are agreeing to these Terms on behalf of that organization.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms. We recommend reviewing these Terms periodically.

3. Description of Services

Memory Chat provides a productivity and note-taking application that allows users to organize information using "Memory Boxes" - specialized containers for notes, budgets, maps, timers, checklists, and more. Our Services include:

• Web-based landing page and marketing materials
• Mobile applications (when available)
• Desktop applications (when available)
• Cloud synchronization features
• Customer support

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. Account Registration

To access certain features of the Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 13 years old (or 16 in the European Union) to use our Services. By using the Services, you represent that you meet this age requirement.

5. User Content

• Display your content back to you

We do not claim ownership of your User Content, and we will not use, share, or sell your content for advertising or other purposes beyond providing the Services. You are solely responsible for your User Content and must ensure it does not violate any laws or infringe on third-party rights.

• Infringe on intellectual property or other rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems

The Services, including all content, features, and functionality, are owned by MemoryChat and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent. All other trademarks not owned by us that appear on the Services are the property of their respective owners. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial purposes.

8. Third-Party Services

Our Services may contain links to third-party websites or services that are not owned or controlled by MemoryChat. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties. Third-party services we use include:

• PostHog (analytics)
• Brevo (email services)
• Tawk.to (live chat)
• UserJot (feedback collection)

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that:

• The Services will meet your requirements
• The Services will be uninterrupted, timely, secure, or error-free
• Any errors will be corrected
• The results from using the Services will be accurate or reliable

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORYCHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the amount you paid us, if any, in the past twelve months for the Services giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless MemoryChat and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your User Content
• Your violation of any third-party rights

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may contact us at support@memorychat.app. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MemoryChat is established, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of competent jurisdiction. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
